These Terms and Conditions (the “Terms”) form a legal agreement between you and OneCo, Inc. (“OneCo,” “we,” “us,” or “our”). They govern your access to and use of the OneCo website, applications, dashboards, and any related products or services (together, the “Service”). Please read them carefully. By using the Service you agree to be bound by these Terms.
1. Acceptance of the terms
By creating an account, accessing, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity. If you do not agree to these Terms, you may not use the Service.
2. Description of the service
OneCo provides a unified platform that helps small businesses manage financial and operational workflows in one place. Depending on the plan and features you enable, the Service may include tools for banking access, payments, payroll, accounting, business credit, reporting, document storage, and related compliance support.
OneCo is a technology company. OneCo is not a bank, a law firm, or a CPA firm. Banking and other financial services made available through the Service are provided by our third party financial partners, not by OneCo. Nothing on the Service constitutes legal, tax, accounting, or financial advice, and you should consult a qualified professional before making decisions that depend on such advice.
3. Eligibility and accounts
To use the Service you must be at least 18 years of age and capable of forming a binding contract. The Service is intended for business use within the United States. When you register, you agree to provide accurate, current, and complete information and to keep that information up to date.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us promptly at legal@oneco.com if you suspect any unauthorized use of your account or any other breach of security.
4. Acceptable use
You agree that you will not, and will not permit others to:
- Use the Service for any unlawful, fraudulent, or deceptive purpose, or in violation of any applicable law or regulation.
- Use the Service to launder money, finance illegal activity, or evade sanctions, anti money laundering, or know your customer requirements.
- Attempt to gain unauthorized access to the Service, other accounts, or any systems or networks connected to the Service.
- Interfere with, disrupt, or place an unreasonable load on the Service or its supporting infrastructure.
- Reverse engineer, decompile, or copy any part of the Service except to the extent permitted by law.
- Upload or transmit any malicious code, or any content that infringes the rights of others.
5. Fees and billing
Certain features of the Service are offered on a paid basis. The fees, billing frequency, and any usage based charges that apply to your plan will be described at the time you subscribe or within your account. Unless stated otherwise, fees are quoted in U.S. dollars and are exclusive of taxes, which you are responsible for paying.
By providing a payment method, you authorize us and our payment processors to charge the applicable fees on a recurring basis until your subscription is canceled. Except where required by law or expressly stated in these Terms, fees are non refundable. We may change our pricing on a prospective basis, and we will give you reasonable advance notice of any material change before it takes effect.
6. Third party services and financial partners
The Service relies on third party providers, including banks, card issuers, payment processors, payroll providers, and other financial and technology partners. Banking and money movement services are provided by these partners under their own terms and disclosures, and your use of those services may require you to accept separate agreements with them.
We do not control and are not responsible for the acts or omissions of any third party provider. Your relationship with a financial partner is governed by your agreement with that partner. If there is a conflict between these Terms and a partner agreement with respect to a partner service, the partner agreement controls for that service.
7. Intellectual property
The Service, including its software, design, text, graphics, logos, and other content, is owned by OneCo or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non exclusive, non transferable, revocable license to access and use the Service for your internal business purposes.
You retain ownership of the data and content you submit to the Service (“Your Content”). You grant us a license to host, process, and use Your Content solely to operate, maintain, and improve the Service and to provide it to you. The OneCo name, logo, and product names are trademarks of OneCo, and you may not use them without our prior written permission.
8. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, OneCo disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non infringement.
We do not warrant that the Service will be uninterrupted, error free, or secure, or that any information provided through the Service is accurate, complete, or current. Any reliance you place on the Service, including any output, calculation, or report, is at your own risk. OneCo is not a bank, law firm, or CPA firm, and nothing on the Service is legal, tax, or financial advice.
9. Limitation of liability
To the fullest extent permitted by law, OneCo and its officers, directors, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
To the extent permitted by law, our total liability for all claims arising out of or related to the Service will not exceed the greater of the amount you paid to OneCo for the Service during the twelve months before the event giving rise to the claim, or one hundred U.S. dollars.
10. Indemnification
You agree to indemnify, defend, and hold harmless OneCo and its officers, directors, employees, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
11. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, in whole or in part, at any time if you violate these Terms, if we are required to do so by law or by a financial partner, or if we reasonably believe your use poses a risk to the Service or to others.
Upon termination, your right to use the Service will end. Provisions that by their nature should survive termination, including those relating to intellectual property, disclaimers, limitation of liability, and indemnification, will continue to apply.
12. Changes to the terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice through the Service or by email. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you should stop using the Service.
13. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. You agree that any dispute arising out of or related to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
